1. The project
The commission and brief shall be confirmed in writing before proceeding, the services and fees being stated, together with an estimate of cost for the various stages. No work will be commenced without written agreement.
Proofs of all work may be submitted for customer’s approval and Degraf shall incur no liability for any errors not corrected by the customer in proofs so submitted. Customer’s alterations and additional proofs necessitated thereby shall be charged extra. When style, type or layout is left to the Degraf’s judgement, changes therefrom made by the customer shall be charged extra.
Estimates are based on Degraf’s current costs of production and, unless otherwise agreed, are subject to amendment on or at any time after acceptance to meet any rise or fall in such costs.
All orders will be deemed to be made subject to these Terms and conditions of business.
a). Degraf shall be paid such a fee or fees in such currency as have been agreed (including where relevant VAT or other statutory additions) together with all related costs and expenses. All monies so due shall be paid no later than fourteen days after submission of the account by Degraf. For continuing work: after the first presentation, accounts will be submitted by Degraf at the end of each calendar month for work carried out during that month, or at set stages in the work as agreed in advance. Degraf shall be entitled to charge interest at the cumulative rate of 5% per annum above Barclays Bank plc base rate on all sums due and in respect of each calendar month after such sums have become due and payable.
b). Degraf may ask for percentage in advance on order and balance on delivery at discretion.
In addition to fees, Degraf shall be reimbursed at cost for all reasonable out-of-pocket expenses (whether by Degraf or by any other person engaged on the commission) actually and properly incurred in the execution of the commission. Such expenses will include but without limitation hotel, subsistence and travelling expenses, use of car, long-distance telephone calls, facsimile charges, courier service etc.
Costs incurred by Degraf for such items as prints and other reproductions of drawings, typesetting, the provision of dummies etc, furnished at the client’s request or with the client’s approval (unless they comprise the design proposals or are included in a fixed fee agreement) shall be charged separately. Degraf is entitled to add a handling fee for this service.
a). Unless otherwise specified the price quoted is for delivery of the work to the customer’s address as set out in the estimate. A charge may be made to cover any extra costs involved for delivery to a different address.
b). should expedited delivery be agreed an extra may be charged to cover any overtime or any other additional costs involved.
c). Should work be suspended at the request of or delayed through any default of the customer for a period of 30 days Degraf shall then be entitled to payment for work already carried out, materials specially ordered and other additional costs including storage.
Advice of damage, delay or loss of goods in transit or of non-delivery must be given in writing to Degraf and the carrier within seven clear days of delivery or despatch.
Degraf shall not be liable in respect of any claim unless the aforementioned requirements have been complied with except in any particular case where the customer proves that (i) it was not possible to comply with the requirements and (ii) advice (where required) was given and the claim made as soon as reasonably possible.
